Billing, Subscription & Refund Policy

1. Introduction and Scope

This Billing, Subscription, and Refund Policy ("Billing Policy") governs all commercial transactions between you ("Customer," "you," or "your") and Kiryl Sadko, conducting business as an individual entrepreneur (indywidualna działalność gospodarcza, NIP 8992968363, registered at pl. Plac Mechaników 3, 05-800 Pruszków, Poland) ("Company," "we," "us," or "our") in connection with your access to and use of the ASO Copilot platform and associated services (the "Service").

This Billing Policy is incorporated into and forms part of our Terms of Service. By subscribing to any paid plan or purchasing a localization add-on pack, you agree to this Billing Policy in full. Defined terms not otherwise defined herein have the meanings given to them in our Terms of Service.

The Company and a customer may separately agree on additional or different commercial terms in a contract, commercial proposal, order form, statement of work, invoice, or other written or electronic document. Where such a separate agreement expressly conflicts with this Billing Policy, it prevails solely in respect of the specific transaction to which it relates and solely to the extent of that conflict, in accordance with §26 of our Terms of Service . This Billing Policy continues to apply to all matters not addressed by that separate agreement.

If you do not agree to this Billing Policy, you must not subscribe to or purchase any paid product through the Service.

2. Pricing and Plan Structure

ASO Copilot offers two categories of paid products, both processed through Paddle (our payment processor and merchant of record):

ASO Copilot Subscription — a recurring monthly subscription that provides access to the Service within a defined monthly localization allotment. Three plans are currently available:

  • Starter — 5 localizations per billing period
  • Grow — 10 localizations per billing period
  • Business — 30 localizations per billing period

Localization Add-On Pack — a one-time purchase of additional localizations that supplements your active subscription allotment. Each pack contains 5 localizations, and you may buy any number of packs in a single purchase (your total is the number of packs multiplied by 5). Add-on packs can be purchased at any time while you hold an active subscription.

Subscriptions are billed monthly only. No annual billing option is currently offered. No team or multi-seat plans are currently available. All prices are stated in US dollars (USD). The current plans, prices, and features are described on our pricing page at aso-copilot.com/pricing and may be updated in accordance with Section 20 of this Billing Policy.

3. Free Access

ASO Copilot does not currently offer a permanent free tier. New accounts receive a small one-time complimentary allocation of Localizations on sign-up so you can evaluate the Service; this allocation is limited, does not renew, and continued access to the Service's paid features requires an active subscription once it is consumed. We may change or withdraw this complimentary allocation, or introduce a free tier, in the future at our sole discretion; if we do so, the applicable terms and usage limits will be published at that time.

We reserve the right to provide limited complimentary access (for example, for evaluation, support, or goodwill purposes) at any time. Such access is provided at our sole discretion, is not guaranteed to continue, and does not create any contractual entitlement to ongoing free access.

4. Free Trials

ASO Copilot does not currently offer a free trial period. All subscriptions require payment from the first billing period. We may introduce a trial offering in the future; if we do, the applicable terms (including duration, payment method requirements, and auto-conversion rules) will be clearly disclosed at the point of sign-up.

5. Subscriptions

Access to the paid features of the Service is available exclusively through an active subscription. A subscription grants you a non-exclusive, non-transferable, revocable licence to access and use the Service during the applicable subscription period, within the usage entitlements of your chosen plan, and subject to the terms of this Billing Policy and our Terms of Service.

Subscriptions are personal to the account holder. A subscription may not be shared with or transferred to any other person or entity.

Your subscription begins on the date your first payment is successfully processed and continues for successive monthly billing periods until cancelled in accordance with Section 14.

6. Automatic Renewal

Subscriptions renew automatically every month. Unless you cancel before the end of the current billing period, your subscription will automatically renew for a further monthly period at the then-current price for your plan. By subscribing, you expressly authorise Paddle (our merchant of record) to charge your payment method on file on each renewal date without further action by you.

It is your responsibility to manage your subscription and cancel before the renewal date if you do not wish to be charged for the next period. We will send a reminder email to the address associated with your account at least 3 days before each renewal is processed. Renewal charges that have already been processed are subject to the refund provisions in Section 18.

7. Charges and Payment Authorisation

By providing a payment method and completing a purchase, you authorise Paddle (acting as merchant of record on our behalf) to charge your payment method for:

  • (a) the initial subscription fee for the selected plan;
  • (b) all recurring monthly renewal fees as described in Section 6;
  • (c) any applicable taxes as determined by Paddle in accordance with Section 10;
  • (d) the one-time fee for any localization add-on pack purchase you initiate; and
  • (e) any other amounts for which you have given express authorisation.

All charges are final upon successful processing, subject only to the narrow refund rights set out in Section 18. You are responsible for maintaining accurate and valid payment information in your account at all times.

8. Billing Cycle

Subscriptions are billed on a monthly cycle. Your billing date is the calendar date on which your subscription was first activated (the "Subscription Anniversary"). Renewal charges are applied on or around the Subscription Anniversary of each subsequent month.

If a renewal date falls on a day that does not exist in the relevant month (e.g. the 31st in a 30-day month), the charge will be applied on the last day of that month.

Upgrades and downgrades are treated differently. An upgrade to a higher-tier plan takes effect immediately: Paddle charges a prorated amount for the remainder of the current billing period and the additional localization allotment is made available at once. A downgrade to a lower-tier plan takes effect at the start of the next billing period; no proration or credit is applied, and you retain your current plan's features and localization allotment until then. The detailed rules for each are set out in Section 12.

9. Payment Methods

All payments are processed by Paddle.com Market Limited ("Paddle"), which acts as the merchant of record for all ASO Copilot transactions. Accepted payment methods are determined by Paddle and may include major credit and debit cards (Visa, Mastercard, American Express), PayPal, and other methods as displayed at checkout.

You must ensure that the payment details you provide are accurate, complete, and kept up to date. We are not responsible for failed charges resulting from expired, invalid, or insufficient-funds payment methods. We do not store your card details — all payment information is processed and stored by Paddle in accordance with applicable PCI-DSS standards.

10. Taxes

Because Paddle acts as the merchant of record for all ASO Copilot purchases, Paddle is responsible for calculating, collecting, and remitting all applicable taxes, duties, levies, and similar charges ("Taxes") — including VAT, GST, and sales tax — in accordance with the laws of your jurisdiction.

Taxes are calculated at checkout based on your billing location and the applicable rates at that time. The total amount charged to your payment method, including any applicable Taxes, will be displayed before you confirm your purchase. Where Taxes apply, they will appear on your Paddle-issued invoice or receipt.

If you are a business customer entitled to a VAT exemption or reverse-charge treatment, you must provide a valid VAT identification number at the time of purchase. Tax determinations made correctly based on the information you provide at checkout cannot be retroactively adjusted.

11. Localizations and Usage Entitlements

Workflow runs within the Service consume localizations ("Localizations"). Each run for a given app, locale, and platform counts as one Localization. The following rules govern all Localization allotments and add-on packs:

  • Nature of Localizations. Localizations are service usage entitlements only. They are not currency, money, property, stored value, or financial instruments of any kind. They confer no right to any refund, cash equivalent, or monetary compensation upon expiry, cancellation, or termination.
  • Monthly allotment and hard reset. Each subscription plan includes a Localization allotment for each billing period as stated in Section 2. Unused allotment Localizations do not roll over — they expire and are reset to zero at the start of each new billing period. There is no compensation for unused subscription Localizations.
  • Add-on pack Localizations persist. Localizations purchased as a one-time add-on pack are added to your account balance and remain available until consumed, regardless of billing period boundaries. Add-on Localizations do not expire while you maintain an active subscription. Upon cancellation or termination of your subscription, any remaining add-on Localization balance is forfeited without compensation. Important notice before purchase: add-on pack Localizations are non-refundable and are forfeited on subscription cancellation or termination. Do not purchase an add-on pack if you intend to cancel your subscription. By completing an add-on pack purchase you request immediate fulfilment and, where you hold a statutory right of withdrawal under Directive 2011/83/EU or equivalent applicable law, you acknowledge that the right of withdrawal is waived once fulfilment of the order begins.
  • Localization depletion. Once your combined Localization balance (subscription allotment plus any add-on balance) reaches zero, workflow operations will be blocked until your allotment resets at the next billing period or until you purchase an add-on pack. No overage charge or pay-as-you-go access is available when your balance is zero.
  • No cash value. Localizations have no cash value and may not be exchanged for money, transferred to another account, or redeemed in any form except by consuming them through the Service.
  • Adjustments. We reserve the right to correct, adjust, or revoke Localizations in cases of billing error, fraud, abuse, plan changes, or legal requirement. We will notify you of any material unilateral reduction in your prospective allotment with reasonable advance notice.

12. Upgrades, Downgrades, and Plan Changes

You may change your subscription plan from your account settings. Upgrades and downgrades are handled differently, and you may make one plan change per billing period (see below). The following rules apply:

  • Upgrades. When you upgrade to a higher-tier plan, the change takes effect immediately. Paddle charges a prorated amount for the remainder of the current billing period, and the additional Localization allotment for the higher tier is added to your balance at once. At your next renewal date you will be charged the full price of the upgraded plan.
  • Downgrades. When you downgrade to a lower-tier plan, the change takes effect at the next renewal date. You retain your current plan's features and Localization allotment until then. No partial refund or credit is issued for the unused portion of the current billing period.
  • Localization allotment on plan changes. On an upgrade, the additional allotment is credited immediately as described above. On a downgrade, your current billing period's allotment is unaffected and the lower plan's allotment applies from the first day of the next billing period. In all cases, unused subscription Localizations from the current period do not carry over.
  • One change per billing period. You may make one plan change per billing period. After you change your plan, you must wait until your next renewal before changing it again. Reversing a pending change before it takes effect (for example, cancelling a scheduled downgrade) does not count as a plan change for this purpose.

13. Promotional Offers and Discounts

We may from time to time offer promotional pricing, discount codes, referral credits, early-adopter rates, or similar incentives ("Promotional Offers"). Promotional Offers are subject to the specific terms communicated at the time of the offer, including any eligibility requirements, expiry dates, and restrictions.

Unless expressly stated otherwise, Promotional Offers:

  • (a) apply only to the initial billing period and do not extend to renewals;
  • (b) are non-transferable, non-combinable with other offers, and have no cash value;
  • (c) may be withdrawn or modified at any time prior to redemption; and
  • (d) do not constitute a commitment to maintain any particular price level in future billing periods.

Grandfathered pricing, where offered, applies solely to the account to which it was granted and is not transferable. We reserve the right to adjust such rates with reasonable notice as described in Section 20.

14. Cancellations

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, after which your subscription will not renew and no further charges will be made.

To cancel, you may: (a) use the cancellation function in your account or subscription settings, or (b) contact us at [email protected] with a clear written request.

Cancellation requests must be submitted before the renewal date. A cancellation submitted after a renewal charge has been processed will take effect at the end of the newly renewed billing period; the renewal charge already collected is non-refundable unless an exception applies under Section 18.

We will send a confirmation of your cancellation to the email address associated with your account. If you do not receive a confirmation within a reasonable time, please contact us to ensure the cancellation has been processed.

15. Effect of Cancellation

Upon cancellation taking effect at the end of the billing period:

  • (a) your access to all paid features of the Service will be suspended;
  • (b) any remaining subscription Localization allotment for the cancelled period will expire and is forfeited without compensation;
  • (c) any unused add-on pack Localizations remaining in your account will also be forfeited without compensation;
  • (d) any data or content associated with your account may be retained for a limited period in accordance with our Privacy Policy and Terms of Service, after which it may be deleted; and
  • (e) you remain responsible for any amounts that have already been charged or incurred prior to the effective date of cancellation.

Cancellation does not affect any rights or obligations that accrued prior to the effective cancellation date.

16. Failed Payments and Delinquent Accounts

If a payment fails for any reason (including an expired card, insufficient funds, or bank refusal), Paddle will notify you by email and may attempt to retry the charge one or more times over a period of several days using the payment method on file. The exact retry schedule is determined by Paddle's dunning configuration.

During the failed-payment grace period, access to paid features may be restricted. If the outstanding amount is not settled within the grace period, we reserve the right to suspend or terminate your account in accordance with Section 17.

You are responsible for maintaining a valid payment method and for all charges that accrue under your account. We are not liable for any loss of access, data, or service resulting from a payment failure attributable to your payment method or your failure to update payment details in time.

17. Suspension or Restriction for Non-Payment or Abuse

We reserve the right to suspend, restrict, or terminate your access to the Service, with or without prior notice, in any of the following circumstances:

  • (a) you fail to pay any amount due within the applicable grace period;
  • (b) we suspect your account is being used for fraud, abuse, circumvention of usage limits, or other activity that violates our Terms of Service or this Billing Policy;
  • (c) we receive a chargeback, dispute, or payment reversal in connection with a charge on your account;
  • (d) continued access creates a legal, regulatory, or reputational risk for us; or
  • (e) you otherwise breach any material provision of our Terms of Service.

Where feasible, we will attempt to give you reasonable advance notice of a suspension and an opportunity to remedy the issue. We may, however, act immediately and without notice where necessary to protect the integrity or security of the Service.

Suspension or termination for cause does not entitle you to any refund or credit for unused portions of a subscription period.

18. Refund Policy

All fees are non-refundable. Except as expressly provided in this Section or as required by applicable mandatory law, all fees paid — including subscription fees, renewal charges, and localization add-on pack purchases — are non-refundable. This applies regardless of whether you actively used the Service during the billing period.

Exceptions. We may consider a refund in the following limited circumstances:

  • Billing error. If you were charged an amount materially different from the price you agreed to pay, or if a duplicate charge occurred, we will correct the error and refund the overcharged amount.
  • Service unavailability. If the Service was substantially unavailable due to a failure on our part for an extended and material period during your billing period, we may at our discretion issue a prorated credit or refund.
  • Statutory cooling-off rights (14-day right of withdrawal). If you are a consumer in the European Union or another jurisdiction that provides a statutory right of withdrawal, you have the right to withdraw from a subscription contract within 14 calendar days of the date of contract conclusion without giving reasons. At checkout, you will be asked to give express consent to immediate performance and to acknowledge that the right of withdrawal is waived once performance has begun — consistent with Article 16(m) of Directive 2011/83/EU and as further described in the Right of Withdrawal section of our Terms of Service. If you do not provide that consent at checkout, we will not begin performance until the 14-day period has elapsed. To exercise a withdrawal right before performance begins, contact us at [email protected] with a clear written statement of your decision to withdraw. For localization add-on pack purchases (one-time digital content orders), the same 14-day withdrawal right applies and is waived in the same manner upon fulfilment, as described in Section 11.

To request a refund, contact us at [email protected] with your account details and a description of the issue. We will review requests and respond within a reasonable time. Approval of a refund in one instance does not create an obligation to grant refunds in any future instance.

Approved refunds are processed through Paddle to your original payment method. Processing times are subject to Paddle's and your payment provider's policies.

Nothing in this Section limits any refund rights expressly granted in our Terms of Service, including pro-rata refunds that may apply on service discontinuation, our unilateral revision of these terms you do not accept, or material reductions in Service functionality. Those rights are governed by the applicable provisions of the Terms of Service.

Nothing in this Section affects any conformity rights a consumer may have under Directive (EU) 2019/770 on contracts for the supply of digital content and digital services, or its national implementing legislation. Where such mandatory conformity rights apply, consumers retain any remedies (including repair, replacement, price reduction, or termination) provided under applicable law, irrespective of any non-refundable fees clause in this Billing Policy.

19. Chargebacks and Payment Disputes

If you have a concern about a charge, you must contact us at [email protected] before initiating a chargeback or dispute with your bank or payment provider. We will make reasonable efforts to resolve legitimate billing concerns promptly and in good faith.

Initiating a chargeback for a charge that was validly made in accordance with this Billing Policy, without first giving us a reasonable opportunity to resolve the dispute, may constitute a breach of this Billing Policy. In such cases we reserve the right to:

  • (a) immediately suspend or terminate your account;
  • (b) contest the chargeback through Paddle using evidence of your authorisation and use of the Service; and
  • (c) recover any losses, chargeback fees, or administrative costs incurred as a result, to the extent permitted by applicable law.

We maintain records of account activity, subscription events, and usage data that may be used as evidence in any chargeback or dispute proceedings.

Nothing in this Section limits a consumer's statutory rights or any right conferred by mandatory applicable law, including the right to raise a legitimate dispute with a bank or payment provider where a charge was genuinely unauthorised or made in error.

20. Pricing Changes

We reserve the right to change the prices for our subscription plans, localization add-on packs, and any other paid products at any time. We will provide at least 14 days' advance notice of any price change affecting your active subscription, by email or in-product notification.

Price changes apply from your next renewal date following the expiry of the notice period. If you do not accept the new price, you may cancel your subscription before the renewal date in accordance with Section 14. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.

We also reserve the right to introduce new plans, retire existing plans, modify plan features and usage limits, or restructure our pricing model. Where such changes materially affect an active subscription, we will provide reasonable advance notice and, where your plan is discontinued, offer you a migration path to a comparable available plan.

21. Changes to This Policy

We may update this Billing Policy from time to time to reflect changes in our commercial practices, legal requirements, or the structure of our Service. When we make material changes, we will notify you by email and/or by displaying a prominent notice within the Service, and we will update the "Last updated" date at the top of this page.

Material changes will take effect no earlier than 14 days after notification. For non-material clarifications or corrections, changes may take effect immediately.

Your continued subscription or use of the Service after the effective date of any changes constitutes acceptance of the updated Billing Policy. If you do not agree with the changes, you must cancel your subscription before the effective date.

22. Governing Law and Jurisdiction

This Billing Policy is governed by, and shall be construed in accordance with, the same governing law and subject to the same jurisdiction and dispute-resolution provisions as our Terms of Service. Please refer to the Governing Law and Jurisdiction sections of our Terms of Service for the applicable choice of law, the courts of competent jurisdiction, and the mandatory carve-outs that apply to consumers habitually resident in EU Member States or other jurisdictions whose mandatory laws confer additional protections.

Where mandatory applicable law confers rights on you that cannot be excluded or limited by contract — including but not limited to consumer protection rights under Polish law, EU Directive 2011/83/EU (Consumer Rights Directive), EU Directive 93/13/EEC (Unfair Contract Terms), and EU Directive 2019/770 (Digital Content) — those rights are unaffected by this Billing Policy, and any provision of this Billing Policy that conflicts with such mandatory rights shall be void to the extent of the conflict.
